-- cigna and anthem ♪ all right, take a look at shares of cigna trading well below the 180 a dollar per share offer the anthem proposed. the proposal could create the country's biggest health insurer and that causes questions for regulators. we are joined by a biomedical ofineer and the investors cigna clearly don't think this deal will go through. what do think? will regulators give us a green light? that theonally think deal has a decent shot, i would %-60%it a handicap of a 50 probability. with obamacare, there were a lot of regulations put in place and that limits of the margins and limits the capital the company can enjoy -- companies can enjoy. run byre restrictions medicare and hhs on the exchanges. we have an election looming and we are clearly headed into campaign season. as a result, i do think the regulatory process will be more onerous than typical. it could run from 12 months at the very least to at least 18 months. i expect at there will be a lot of pricing concessions that the regulators will ask for from the consumer for smaller employers and most likely some to vested -

anthem making a bear hug for cigna. cigna rejecting that. much of this focusing on social issues and disagreements in terms of the leadership of the company. the companies are back in talks. that's not clear how much progress there is being made at this point in terms of the talks between the two companies. they have reengaged to a certain extent. as you might expect the focus of those talks is believed to be on the same social issues that doom their ability to reach a deal. economics was not the keep part of the differences between the two. as i said $184 a share from anthem. for cigna was the offer. 69% was in cash. 34% in anthem shares an offer of three board seats as well. you may recall there was issues about david cordoni, a frequent guest here taking over immediately as a ceo and the fact that anthem did not want to move down that road. you may recall in cigna's rejection of anthem it said your insistence that one person joseph swedish, assume four roles, including chairman of the boar, ceo president and head of immigration was discon

the cigna ceo spoke to bloomberg television earlier. olivia sterns asked how confident he was the deal would get approved by regulators. guest: the stock is up a little over 40% to date. it is trading at a large discount in terms of the offer price. largely, it is the uncertainty, so we know we have a long process ahead of us. we are confident it will be approved because through the diligence of the work that was done, the businesses are quite complementary. revenue are in businesses that anthem is not in. seniors businesses have a large scale and leading medicaid business and we are not in that work folio of businesses. longverhang is through a time window but through the regulatory process, the transaction will be approved. >> are you guys going to have to give up a lot of assets? david: we expected there would be some and they are modest and mad -- and manageable. many of the markets where anthem is strong, cigna is present but not as large. and where we are strong, they are not in, so there will always be some of the transaction, bu

that's because david cordoni ceo of cigna wanted to be cigna of the combined company. it appears they have backed down and governance has been dealt with. price continues to be an issue. originally $184 a share had been the price offered by anthem it does appear progress has been made. united health care is hovering around. that is not unexpected as consolidation takes place. everyone talks to everyone. there is the question of would they actually consider trying to mount a bid for cigna? if so it would be at a high price and an enormously high break-up fee because of the antitrust adherence and the unh deal that would include many divestitures. it is something you have to keep in mind as you continue to take a look at this consolidating area. cigna, not without its own antitrust. in particular states they are a preponderance of what would be the marketplace, so to speak particularly on the commercial side. also important for etna humana. if we do get this anthem cigna deal, it will be considered in the same window by the department of justice. mark bertolini says it m
